Terms of Use

This is a public draft for review. Final terms, including liability, SLA, and governing law, will be aligned with legal counsel and set out in the agreement with the customer organization.

These Terms govern access to and use of the Leya platform by employees and other authorized users of the customer organization.

By using Leya, you confirm that you act on behalf of or with permission from your organization and agree to follow these Terms, the Privacy Policy, and your organization’s internal rules. If you do not agree, do not use the service.

Acceptance

Access to Leya is provided to your organization under a contract or other agreement with the platform provider. By accepting an invite, signing in, or using the service, you agree to these Terms as they apply to end users.

  • The customer organization may set additional usage rules
  • Tenant admins may restrict features, spaces, and sign-in methods
  • Certain APIs and integrations may be governed by additional terms

Definitions

These Terms use the following concepts.

  • Leya / Platform — the software system for corporate knowledge access (search, assistant, library, administration, API)
  • Organization / Tenant — the customer’s legal or organizational workspace in Leya
  • User — a natural person with granted access (employee, contractor, etc.)
  • Administrator — a user with rights to manage the tenant, access, content, or policies
  • Customer content — materials, metadata, and other data uploaded or created in the organization perimeter
  • Evidence — source fragments and references that accompany assistant answers

Service description

Leya helps users find approved corporate materials, get source-grounded answers, work with the knowledge library, and manage access. Available features depend on plan, tenant configuration, and user permissions.

  • Search across permitted sources and spaces
  • Assistant with evidence and work artifacts
  • Upload and processing of documents, courses, and media
  • Administration of users, roles, policies, knowledge quality, and demand analytics
  • Corporate SSO and/or local login — per organization settings

Accounts and access

Access is granted and revoked by your organization admin. You must use only your own account and protect credentials / your corporate SSO session.

  • Sharing accounts or transferring access to others is prohibited
  • If access is compromised, notify your admin immediately
  • The organization is responsible for keeping users and roles up to date
  • We may restrict sign-in if abuse or a security threat is suspected

Acceptable use

The service is for work tasks within permissions granted by your organization. You must not use Leya in ways that violate law, contract, third-party rights, or security policies.

  • Bypassing ACL, roles, spaces, or other access restrictions
  • Unauthorized extraction, copying, or export of confidential knowledge outside the approved perimeter
  • Interfering with the platform, unauthorized vulnerability scanning, or load that harms availability
  • Uploading malware, unlawful content, or materials the organization has no rights to process
  • Using the service for spam, fraud, or processing outside the organization’s purposes
  • Treating AI answers as formal legal, medical, or financial advice without review by a responsible specialist

Customer content and work product

Content uploaded to Leya and materials created by users within a tenant belong to the customer organization or rights holders on whose behalf the organization acts. The platform processes such content only to provide the service.

  • The organization warrants it has rights to upload and process the materials
  • Users are responsible for the lawfulness of their queries and uploads within granted permissions
  • Assistant answers and artifacts may be stored in the tenant per configuration
  • Deletion or modification follows organization rules and platform capabilities

Platform intellectual property

IP rights in Leya as software, UI design, trademarks, and documentation belong to the platform rights holder. You receive a limited right to use the service for your organization for the term and under the conditions of the agreement.

  • Decompilation, reverse engineering, and source extraction are prohibited except where mandatory law allows
  • Removing proprietary notices is prohibited
  • Feedback and product suggestions may be used by the platform without compensation unless otherwise agreed

Confidentiality

You must keep information obtained through Leya confidential in line with your organization’s policies and applicable law. Personal-data processing is described in the Privacy Policy.

  • Do not disclose answers or sources beyond people entitled to access them
  • Follow classification labels, NDAs, and personal-data rules
  • Administrative and audit data may also be confidential

Availability and service changes

We aim to keep the platform reliable, but continuous availability is not guaranteed by this public draft. Availability targets, support, and maintenance windows are defined in the customer agreement / SLA.

  • Planned maintenance, updates, and temporary feature limits may occur
  • Feature set may evolve as the product develops
  • For on-premise, availability depends on customer infrastructure

Limitation of liability

Leya provides knowledge-access and AI-assistance tools based on sources available to the user. Answers may be incomplete or inaccurate. Critical decisions require verification against primary documents and accountable specialists in your organization.

  • The platform does not provide formal legal, medical, financial, or HR opinions
  • Liability to end users in a typical B2B model is primarily governed by the customer agreement
  • To the fullest extent permitted by law, liability for indirect damages, lost profits, and data loss caused by user actions or tenant configuration is excluded
  • Nothing in these Terms limits liability that cannot be limited under mandatory law

Suspension and termination of access

A user’s access may be restricted or terminated by the organization admin, for Terms violations, for security threats, or when the customer agreement ends.

  • On offboarding or revoked authority, the organization must disable the account promptly
  • The platform may temporarily block access to protect the service and data
  • After agreement termination, return/deletion of data follows the contract and Privacy Policy

Governing law and disputes

Governing law, venue, and dispute resolution are set by the agreement between the platform provider and the customer organization, and by mandatory law. This public draft does not create a separate venue for end users outside that agreement.

  • Employment and internal disputes between a user and the organization follow the organization’s rules and applicable law
  • Consumer protections apply only where required by the parties’ status and law

Changes to the Terms

We may update these Terms as the product and regulation evolve. The current version is published in-product with an update date. Material changes are communicated to tenant admins.

  • Continued use after an update may constitute acceptance of the new version if provided by the agreement
  • If the organization rejects changes, rights and obligations follow the agreement, including any termination rights

If these Terms conflict with the customer agreement or local tenant policies, the agreement and applicable law prevail. The public in-product version is informational until a legally approved edition is finalized.
